Abstract：High-quality growth requires that China's growth momentum must shiftto innovation-driven，capital and government are the key forces toachieve innovation-driven.Innovation cannot dowithout capital，no capital there would beno innovation，but capital does inot always promote innovation.Innovation cannot be separated from the government，no government and noinnovation，but the government does not always promote innovation.Capital may“capture”the government in order to use its power to pursue and protect private interests，and the government mayalso dominate the capital anduse its power torealizeits own intentions.0n the premise that innovationdrivebecomes a strategic goal，the key to deal with the relationship of capital， innovation and governmentis tolead government powerandcapital powertothedirectioniconducivetoinnovation by high quality institutional innovation，through the initial and re-configuration of resources.
